End-User License Agreement

Effective Date: August 16, 2026

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and BigshopAI Inc. ("BigshopAI," "Company," "we," "us," or "our") for the use of the BigshopAI software application and related services ("Software" or "Service").

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SOFTWARE.

1. Grant of License

Subject to the terms and conditions of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business purposes in accordance with the documentation provided.

2. Permitted Uses

You may use the Software to:

  • Manage work orders, estimates, and invoices for your automotive repair business
  • Track inventory, parts, and purchase orders
  • Manage customer and vehicle information
  • Process payments and generate reports
  • Use AI-powered features (such as the AI assistant, document processing, labor estimating, part fitment checks, image analysis, and reports and digests) as described in our Privacy Policy
  • Access the Software through authorized user accounts within your organization

3. Restrictions

You may NOT:

  • Copy, modify, distribute, sell, or lease any part of the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Remove or alter any proprietary notices or labels on the Software
  • Use the Software for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any portion of the Software or its related systems
  • Use the Software to compete with our business or develop competing products
  • Share your account credentials with unauthorized users
  • Use the Software beyond the scope of your subscription plan

4. Subscription and Payment

The Software is provided on a subscription basis. Your use is subject to:

  • Payment of applicable subscription fees
  • Compliance with usage limits specified in your subscription plan
  • Automatic renewal unless cancelled according to our terms
  • Price changes with appropriate notice as specified in our Terms of Service

5. Data and Privacy

Your use of the Software is subject to our Privacy Policy, which is incorporated by reference into this Agreement. You acknowledge that:

  • You retain ownership of your business data entered into the Software
  • We may collect and use data as described in our Privacy Policy
  • You are responsible for the accuracy and legality of data you input
  • You must comply with applicable data protection laws, including providing any notices to and obtaining any consents from your customers and employees required for the data you enter into the Software

5.1 AI-Generated Content

Certain features of the Software use artificial intelligence to generate content, suggestions, and actions — for example, extracted invoice lines, labor-hour estimates, part fitment flags, summaries and digests, and responses from the AI assistant. You acknowledge that:

  • AI-generated content is produced automatically, may be incomplete or inaccurate, and is provided for your convenience only; you are responsible for reviewing and verifying it before relying on it
  • AI-generated content is not legal, financial, tax, accounting, or professional advice
  • The AI assistant performs only the actions a user requests, within that user's permissions, and you are responsible for the actions taken through your accounts
  • Information you submit to AI features may be processed by third-party AI service providers acting on our behalf, as described in our Privacy Policy

6. Intellectual Property

The Software and all related intellectual property rights are and remain the exclusive property of BigshopAI and its licensors. This Agreement does not grant you any rights to our trademarks, service marks, or logos.

7. Support and Updates

We may provide updates, patches, and new versions of the Software. You agree to install updates that we deem necessary for security or functionality. Support is provided according to your subscription plan.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BIGSHOP AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE.

10. Termination

This Agreement is effective until terminated. We may terminate this Agreement immediately if you breach any terms. Upon termination:

  • Your right to use the Software ceases immediately
  • You must stop all use of the Software
  • We may delete your account and data according to our data retention policy
  • You may export your data during any applicable grace period

11. Third-Party Integrations

The Software may integrate with third-party services (such as QuickBooks, payment processors, etc.). Your use of such integrations is subject to the third party's terms of service and privacy policies.

12. Compliance

You agree to use the Software in compliance with all applicable laws and regulations, including but not limited to:

  • Data protection and privacy laws
  • Financial reporting requirements
  • Industry-specific regulations applicable to your business
  • Export control laws

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions, consistent with our Terms of Service.

14. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes via email or through the Software. Your continued use of the Software after such notification constitutes acceptance of the modified Agreement.

15. Entire Agreement

This Agreement, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and BigshopAI regarding the Software and supersedes all prior agreements and understandings.
